About these terms

These terms govern your use of the Upvale website and service provided by KOD DIVAJN DOO Skopje, trading as Code Divine. If you use Upvale for an organization, you must have authority to act on its behalf. Any separately signed agreement takes precedence where it conflicts with these terms.

The service

Upvale provides a hosted dashboard and control plane for managing container applications, databases, scheduled jobs, and connected servers. You provide the workload servers and any external storage or registries you use. Upvale is not an open-source or self-hosted control-plane product.

Features and limits depend on the plan and service configuration. A feature described on the website is not a guarantee of suitability for every workload or infrastructure setup.

Your account

Provide accurate account information and keep your contact details up to date. Keep passwords, recovery codes, API tokens, and other credentials secure. You are responsible for the people you authorize to use your organization and the permissions you grant them.

Tell us promptly if you suspect unauthorized access. You may use Upvale only if you can lawfully enter an agreement for the service.

Your servers and data

You must own or have permission to manage every server, domain, image, database, and other resource you connect. Connecting a server authorizes Upvale to perform the management actions needed for the features you use, including deploying services, configuring networking, collecting operational information, and running requested maintenance.

You remain responsible for your applications, their content, your users, infrastructure bills, access settings, and compliance with applicable law. Maintain suitable backups and test recovery procedures. Review deployment previews and potentially destructive operations before applying them.

You keep ownership of your content and data. You grant us permission to process them only as needed to provide, secure, and support the service. How we handle personal data is described in our privacy policy. Where required, a separate data processing agreement must cover personal data we process on your behalf.

Acceptable use

Do not use Upvale to carry out unlawful activity, distribute malware, send spam, attack systems, access resources without permission, infringe others’ rights, or bypass account, permission, or plan limits. Do not deliberately disrupt Upvale or interfere with other customers.

If you find a security issue, report it to info@codedivine.com. Testing must not access another customer’s data or disrupt the service.

Plans and payments

The pricing page shows the available plan descriptions and limits. Server and backup storage charges are separate and paid to your chosen providers.

The current package signup is a placeholder and does not create a paid subscription or collect payment. Before paid signup becomes available, the order process will state the price, currency, billing period, applicable taxes, renewal arrangements, and cancellation and refund terms. Selecting a placeholder plan link does not authorize a charge.

Any future purchase is subject to the terms presented and accepted at that time. Nothing here removes cancellation, refund, or other rights that cannot be excluded under applicable law.

Availability and changes

Maintenance, software changes, network failures, and issues with your infrastructure or providers can interrupt service. High availability and backups reduce certain risks but do not guarantee uninterrupted service or prevent every loss of data.

Unless we agree otherwise in writing, these terms do not provide an uptime guarantee or a specific support response time. We may change features as Upvale develops and will give reasonable notice of material changes where practicable or required by law.

Suspension and ending use

We may restrict or suspend access when reasonably necessary to address a security threat, unlawful activity, a material breach of these terms, or a legal obligation. Where practicable, we will explain the reason and allow an opportunity to resolve the issue.

You can stop using Upvale and contact us to request account closure. Before disconnecting servers or closing your account, save the configuration and data you need and arrange continued management of your workloads. Closing an Upvale account does not cancel your contracts with server or storage providers.

Data handling after closure follows the privacy policy, applicable retention requirements, and any separate agreement.

Ownership of Upvale

Code Divine and its licensors retain the rights to Upvale’s software, branding, and website materials. These terms allow you to use the service; they do not transfer ownership or grant a right to redistribute or self-host the control plane. Third-party software remains subject to its own licenses.

Responsibility and legal rights

To the extent permitted by law, we are not responsible for failures or losses caused by resources outside our reasonable control, unauthorized use of your credentials that we did not cause, or your unlawful use of the service. Responsibility for any claim is otherwise determined by applicable law and any separate agreement.

Nothing in these terms excludes liability for fraud, intentional wrongdoing, or any liability or consumer protection that the law does not allow us to exclude.

Governing law and disputes

These terms are governed by the laws of North Macedonia, subject to mandatory protections that apply where you live. Please contact us first so we can try to resolve a concern. The courts and authorities able to handle a dispute are determined by applicable law.

Changes to these terms

We may update these terms as the service changes. We will show the revision date on this page and provide notice of material changes where required. Changes do not remove rights that have already arisen, and any change requiring your agreement will be presented for acceptance.
